PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY CREATING AN ACTSSOCIAL ACCOUNT OR USING THE SERVICES, YOU AGREE TO THESE TERMS, INCLUDING THE BINDING ARBITRATION PROVISION IN SECTION 18 AND THE CLASS ACTION WAIVER IN SECTION 19. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

These Terms of Service (“Terms”) form a binding legal contract between you and Trinity Proximity, Inc., a Texas corporation doing business as ActsSocial (“ActsSocial,” “we,” “us,” or “our”).

1. Acceptance of these Terms

You accept these Terms by creating an account, signing in, or otherwise using the Services. If you are using the Services on behalf of an organization (a church, ministry, business, or similar entity), you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

If you do not agree to these Terms, you may not use the Services. Your only remedy for disagreement with these Terms is to stop using the Services and delete your account.

2. Who we are

ActsSocial is operated by Trinity Proximity, Inc., a Texas corporation doing business as ActsSocial. Our principal place of business is 6841 Virginia Parkway, Suite 103 Unit 435, McKinney, Texas 75071.

Our registered agent in Texas is United States Corporation Agents, Inc., 10601 Clarence Drive, Suite 250, Frisco, Texas 75033.

“Services” means the actssocial.com website, the ActsSocial iOS and Android applications, and all related features, content, software, APIs, and tools we offer.

3. Eligibility

3.1 Age requirement

The Services are intended for adults aged 18 and older. By creating an account or using the Services, you affirmatively represent and warrant that you are at least 18 years of age. If you are under 18, you may not create an account or use the Services for any purpose.

ActsSocial does not collect dates of birth at registration. We rely on your affirmative attestation of age. A false attestation regarding your age is a material breach of these Terms and grounds for immediate account termination.

If we become aware that any account is held by a person under 18, we will suspend the account immediately, terminate it within ten (10) business days, and delete or anonymize associated personal information within ninety (90) days, except as required to be retained by law (including 18 U.S.C. § 2258A reporting obligations regarding child sexual abuse material).

3.2 Geographic restrictions

The Services are not available to users located in any of the following jurisdictions:

  • Russia
  • China
  • Iran
  • North Korea
  • Cuba
  • Syria

If you are located in one of these jurisdictions or on any United States or international sanctions list, you may not use the Services.

3.3 One account

You may maintain one personal ActsSocial account at a time. Creating multiple accounts to evade restrictions, manipulate engagement, or impersonate another person is prohibited and may result in suspension or termination.

4. Your account

4.1 Account creation

To create an account, you must provide accurate information, including your name, a valid email address, and a valid mobile phone number for verification. You must keep this information current.

4.2 Account security

You are responsible for maintaining the security of your password, your authentication tokens, and any device you use to access the Services. You are responsible for all activity that occurs under your account, whether or not authorized by you.

You agree to notify us immediately at [email protected] if you suspect any unauthorized access to your account or any other breach of security.

4.3 Identity

You agree not to impersonate any person or entity, misrepresent your affiliation with any person or entity, or use false credentials to create or operate an account. ActsSocial may verify identity for certain features and may require documentation.

5. Acceptable use

5.0 Acceptable use

When you use the Services, you agree to follow our Community Guidelines, posted at https://www.actssocial.com/community-guidelines, which are incorporated into these Terms by reference.

Without limiting the Community Guidelines, you specifically agree NOT to:

  • Post content that is unlawful, fraudulent, defamatory, obscene, threatening, harassing, hateful, or that incites violence.
  • Post or transmit any sexually explicit material, content that sexualizes minors, or child sexual abuse material (CSAM).
  • Harass, bully, stalk, intimidate, or threaten any person.
  • Engage in hate speech or content that demeans, dehumanizes, or attacks any person or group based on race, ethnicity, national origin, religious affiliation, sex, gender, sexual orientation, disability, or veteran status.
  • Post false or misleading information about real events, including health, elections, public safety, or other matters of public concern.
  • Promote, sell, or distribute illegal drugs, firearms, regulated weapons, stolen property, or other contraband.
  • Impersonate another person, organization, or ministry.
  • Use the Services to send spam, conduct phishing, distribute malware, or engage in any fraudulent scheme.
  • Attempt to access another user's account or any non-public area of the Services without authorization.
  • Interfere with, disrupt, or attempt to overload the Services, including by automated scraping, bots, or denial of service attacks.
  • Reverse engineer, decompile, or attempt to extract source code from the Services, except to the extent expressly permitted by applicable law.
  • Use the Services to promote prosperity gospel scams, multi-level marketing schemes targeting religious communities, or any get-rich-quick scheme falsely associated with faith.
  • Use the Services in any manner that violates any applicable law or regulation in your jurisdiction or in the United States.

Violation of any of the above may result in immediate suspension or termination of your account, removal of content, and where appropriate, legal action or referral to law enforcement.

5.1 Consent to operation, measurement, and safety tools

By using the Services, you affirmatively consent to ActsSocial's use of the following tools and processes, all of which are described in greater detail in our Privacy Policy and Cookie Policy:

(a) Analytics and performance measurement tools, including Google Analytics, Microsoft Clarity, Cloudflare browser insights, and similar services, which collect aggregated and pseudonymous information about how you use the Services. These tools support our operations and improvement of the Services and do not enable third-party behavioral advertising.

(b) Session replay and product-improvement tools that record limited, aggregated information about user interactions with the Services. Sensitive fields (including prayer content, direct message text, and any field marked sensitive) are masked at the source and never transmitted to the recording tool.

(c) Trust and safety tools, including automated systems that scan for child sexual abuse material, threats of violence, spam, and policy violations. Some of these tools are required by law (including 18 U.S.C. § 2258A).

(d) Communication routing infrastructure, including the third-party services described in our Privacy Policy that process your messages, notifications, and content.

You understand that some of these tools collect information about your interactions with the Services and that your continued use of the Services constitutes your express consent to such collection, processing, and use. You may withdraw consent for non-essential tools through your account settings, our cookie banner, or by emailing [email protected].

This Section 5.1 is provided as your express prior consent under the California Invasion of Privacy Act (California Penal Code §§ 631, 632, 638.51 and related provisions), and the analogous laws of any other jurisdiction, to ActsSocial's use of the tools and processes described above.

6. Your content

6.1 What you own

You retain ownership of the original content you post on ActsSocial, including text, photos, videos, audio recordings, prayer requests, comments, and other materials (collectively, “Your Content”). You are responsible for Your Content and the consequences of posting it.

6.2 License you grant us

By posting Your Content on the Services, you grant ActsSocial a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, copy, reproduce, distribute, display, perform, adapt, modify, and create derivative works of Your Content, solely for the purposes of operating, promoting, and improving the Services.

This license includes the right to:

  • Display Your Content to other users in feeds, search results, and notifications according to your privacy settings.
  • Format, resize, transcode, or adapt Your Content for different devices, screens, and platforms.
  • Use thumbnails, previews, and quotations of Your Content in features such as link previews or shareable cards.
  • Use Your Content in marketing or promotional materials for ActsSocial, only with your separate written consent or after notifying you of the intended use.

This license terminates when you delete Your Content from the Services, except where:

  • Other users have shared or interacted with Your Content (their copies remain).
  • We are required to preserve Your Content for legal compliance (such as mandatory CSAM reporting under 18 U.S.C. § 2258A).
  • Your Content is held in routine backups that are overwritten on rotation.
  • Your Content has been aggregated or de-identified for analytics.

6.3 Representations about Your Content

By posting Your Content, you represent and warrant that:

  • You own Your Content or have all necessary rights to grant the license in Section 6.2.
  • Your Content does not infringe any third party's intellectual property, privacy, publicity, or other rights.
  • Your Content complies with these Terms, the Community Guidelines, and all applicable laws.
  • Any person depicted in Your Content has given you permission to post their image, voice, or likeness.

6.4 Content moderation

ActsSocial may, in its sole discretion, review, remove, restrict, or refuse to display Your Content if we believe it violates these Terms, our Community Guidelines, or applicable law, or if we believe it poses a risk to users, ActsSocial, or third parties.

We are not obligated to monitor Your Content, and we are not liable for Your Content or the content of any other user. We rely on a combination of automated tools, user reports, and human reviewers.

6.5 Repeat infringer policy

Users who repeatedly post infringing content, child safety violations, or material violations of these Terms will have their accounts terminated.

6.6 Consent to video content processing

The Services may include video and audio content posted by users or by ActsSocial. By creating an account on ActsSocial and viewing such video or audio content, you provide your informed, written consent under the Video Privacy Protection Act (18 U.S.C. § 2710) to ActsSocial's collection, use, and disclosure of viewing information as described in Section 5A of the Privacy Policy. You may withdraw this consent at any time, with the effects described in the Privacy Policy.

7. Intellectual property

7.1 Our intellectual property

ActsSocial, the ActsSocial logo, and all associated marks, trade dress, and branding are trademarks of Trinity Proximity, Inc. or its licensors. You may not use any of these without our prior written consent.

The Services themselves, including software, design, layout, organization, and aggregated data, are owned by ActsSocial and protected by United States and international intellectual property laws.

7.2 DMCA notice and takedown

ActsSocial complies with the Digital Millennium Copyright Act. If you believe content on the Services infringes your copyright, send a notice that includes:

  • Your physical or electronic signature.
  • Identification of the copyrighted work.
  • Identification of the allegedly infringing material and its location on the Services.
  • Your contact information.
  • A statement of good faith belief that the use is not authorized.
  • A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.

Our designated DMCA agent is registered with the United States Copyright Office. We will respond to valid notices and counter-notices in accordance with the DMCA.

7.3 Bible texts

ActsSocial may include Bible translations that are either the Berean Standard Bible (BSB) or public domain translations. We do not include translations that require ongoing license payments or that restrict redistribution.

This is intentional and ensures that you can read, share, and quote Scripture on ActsSocial without third-party license restrictions.

8. Statement of Faith

ActsSocial publishes a Statement of Faith that describes the theological foundation of the platform, posted at https://www.actssocial.com/values. The Statement of Faith applies to:

  • ActsSocial as a company, in its operations and public communications.
  • ActsSocial officers, directors, and personnel whose role includes ministerial or theological functions on behalf of the platform.
  • Holders of any verified ministry recognition program operated by ActsSocial.

The Statement of Faith does NOT apply to general users of the platform. General users are welcome regardless of their religious beliefs or lack of religious belief, provided they follow the Community Guidelines.

9. Termination

9.1 Termination by you

You may delete your account at any time through your account settings or by emailing [email protected]. Deletion takes effect within 90 days, subject to the retention exceptions in our Privacy Policy.

9.2 Termination by us

ActsSocial may suspend or terminate your account, with or without notice, if we believe:

  • You have violated these Terms or the Community Guidelines.
  • You have posted unlawful content, including CSAM, that requires reporting to authorities.
  • You have engaged in fraudulent activity.
  • Your continued use of the Services creates risk for ActsSocial or other users.
  • We are required by law to terminate your account.

Where the suspension or termination is for a reason that does not require immediate action for safety, we will use reasonable efforts to give you notice and an opportunity to respond.

9.3 Effect of termination

On termination, your right to access the Services ends. The following provisions of these Terms survive termination: Section 6 (Your Content), Section 7 (Intellectual Property), Section 11 (Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 18 (Arbitration), Section 19 (Class Action Waiver), and Section 20 (Governing Law).

10. Modifications to the Services

ActsSocial may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Services without notice or liability.

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ACTSSOCIAL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

ActsSocial does not warrant that:

  • The Services will be uninterrupted, secure, or error-free.
  • Defects will be corrected.
  • The Services or the servers that make them available are free of viruses or harmful components.
  • Any content posted by users is accurate, theologically sound, or trustworthy.

The Services are not a substitute for professional advice. Information on the Services, including content from churches, pastors, ministry leaders, or other users, does not constitute medical, mental health, financial, legal, or other professional advice. Consult a qualified professional for advice on important matters.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ACTSSOCIAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

ACTSSOCIAL'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED UNITED STATES DOLLARS ($100), OR (B) THE TOTAL AMOUNT YOU PAID ACTSSOCIAL IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

12.1 Acknowledgment of bargain

You acknowledge that the limitations of liability and disclaimers in these Terms are essential to the bargain between you and ActsSocial. ActsSocial provides the Services to you at no charge, in reliance on these limitations. Without these limitations, ActsSocial could not provide the Services at the price offered, and the Services would not be available to you on the terms described. You agree that these limitations are reasonable in light of the price you pay, the nature of the Services, and the allocation of risk between you and ActsSocial.

12.2 Carve-outs

Nothing in this Section 12 limits or excludes liability that cannot be limited or excluded under applicable law. This Section 12 does not limit ActsSocial's liability for:

(a) death or personal injury caused by ActsSocial's gross negligence or willful misconduct;

(b) ActsSocial's fraud or fraudulent misrepresentation;

(c) any other liability that cannot be excluded or limited under applicable law.

12.3 Reform if unenforceable

If any limitation in this Section 12 is held by a court of competent jurisdiction to be unenforceable as to any particular claim or in any particular jurisdiction, the limitation will be reformed to the maximum extent permitted by applicable law, and the remainder of this Section 12 will continue in full force and effect.

12.4 California residents

Nothing in this Section 12 waives or limits any right to seek public injunctive relief that cannot be waived under California law (see McGill v. Citibank, N.A., 2 Cal. 5th 945 (2017)). Claims for public injunctive relief may be brought in court as permitted by California law, notwithstanding the arbitration provision in Section 18.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the smallest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless ActsSocial, its officers, directors, employees, agents, contractors, and licensors from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or relating to:

(a) Your Content;

(b) Your violation of these Terms or our Community Guidelines;

(c) Your violation of any third party right, including intellectual property, privacy, or publicity rights;

(d) Your violation of any applicable law or regulation; or

(e) Your fraudulent, willful, or grossly negligent acts in connection with the Services.

This indemnification obligation does not apply to claims arising out of or relating to ActsSocial's own gross negligence, willful misconduct, or violation of applicable law. ActsSocial bears responsibility for its own actions and will not seek indemnification for harm caused by its own wrongful conduct.

ActsSocial reserves the right to assume the exclusive defense and control of any matter for which you have agreed to indemnify us, in which case you agree to cooperate with our defense at our expense.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will:

  • Update the “Last Updated” date at the top of these Terms.
  • Post the updated Terms at https://www.actssocial.com/terms.
  • For material changes, notify you by email and through an in-app or website notice at least 30 days before the changes take effect.

Your continued use of the Services after the effective date of any change constitutes acceptance. If you do not agree, you may stop using the Services and delete your account before the change takes effect.

15. Communications from us

By creating an account, you consent to receive transactional communications from ActsSocial, including account verification messages, password resets, security alerts, and notices about these Terms. These transactional messages may be sent by email, SMS, push notification, or in-app message. While your account is active, you will receive essential security and account messages. You may close your account at any time to stop receiving them.

Promotional communications can be unsubscribed at any time through the unsubscribe link in the message or through your account settings.

16. Notices

Notices to you may be sent to the email address on your account or posted on the Services. Notices to ActsSocial must be in writing and sent to:

17. Informal dispute resolution

Before filing a formal claim, you agree to first try to resolve any dispute with ActsSocial informally by emailing [email protected] with a description of the dispute, your name, your contact information, the relief you seek, and the Services account at issue.

ActsSocial and you will negotiate in good faith for at least 60 days from the date of your email before either party may initiate formal proceedings. The statute of limitations and any filing deadlines will be tolled during this informal resolution period.

18. Binding arbitration

THIS SECTION REQUIRES MOST DISPUTES BETWEEN YOU AND ACTSSOCIAL TO BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION, NOT IN COURT. PLEASE READ CAREFULLY.

If informal resolution under Section 17 does not resolve a dispute, you and ActsSocial agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.

Arbitration will be conducted by a single neutral arbitrator. The arbitration will be held in Hopkins County, Texas, or, at your election, in your home county if you are a United States resident, or by video conference. The arbitrator will decide all issues, including issues of arbitrability, except as expressly provided below.

This Section does not apply to (a) small claims court actions brought on an individual basis, (b) claims of intellectual property infringement, and (c) requests for emergency injunctive relief filed in court.

Mass arbitration / batch arbitration procedures: If 25 or more substantially similar arbitration demands are filed within a 90-day period by claimants represented by the same or coordinated counsel, the arbitrations will be conducted in batches as described in this paragraph, in accordance with the AAA Mass Arbitration Supplementary Rules where applicable. Draft mass arbitration provisions are recommended but require legal validation before publication and engagement with AAA to confirm process feasibility.

If you are a new user, you may opt out of arbitration by sending written notice to [email protected] within 30 days of first agreeing to these Terms. The opt-out must include your name, your email address, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other part of these Terms.

19. Class action waiver

YOU AND ACTSSOCIAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTION.

The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If a court or arbitrator determines that this class action waiver is unenforceable in a particular dispute, the entire arbitration provision in Section 18 will be void as to that dispute, and the dispute will proceed in court.

Nothing in this Section waives or limits any right to seek public injunctive relief that cannot be waived under California law.

20. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For any dispute that is not subject to arbitration under Section 18, you and ActsSocial agree to the exclusive jurisdiction and venue of the state and federal courts located in Hopkins County, Texas.

21. Miscellaneous

21.1 Entire agreement

These Terms, together with the Privacy Policy, the Cookie Policy, the Community Guidelines, and any other policies posted on the Services, constitute the entire agreement between you and ActsSocial regarding the Services. They supersede any prior agreements between you and ActsSocial regarding the same subject matter.

21.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed, and the remaining provisions will continue in full force.

21.3 No waiver

ActsSocial's failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later or to enforce any other provision.

21.4 Assignment

You may not assign these Terms or any rights under them without our prior written consent. ActsSocial may assign these Terms to any successor or affiliate without restriction.

21.5 Force majeure

ActsSocial is not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, pandemic, power outage, internet failure, or third-party service failure.

21.6 No third-party beneficiaries

These Terms do not create any third-party beneficiary rights, except that Apple is a third-party beneficiary of these Terms for purposes of the Apple App Store, and Google is a third-party beneficiary for purposes of Google Play, each with the right to enforce these Terms against you as a user of the iOS or Android application.

21.7 Relationship of the parties

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and ActsSocial.

21.8 Headings

Section headings are for convenience only and have no legal effect on the interpretation of these Terms.

21.9 English language

These Terms are written in English. Translations into other languages may be provided for convenience, but the English version controls in case of any conflict.

22. Apple App Store and Google Play specific provisions

22.1 Apple App Store

If you accessed or downloaded the iOS application from the Apple App Store, the following additional terms apply:

  • These Terms are between you and ActsSocial only. Apple is not a party to these Terms and has no responsibility for the application or its content.
  • Apple has no obligation to provide maintenance and support services for the application.
  • In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Beyond the refund, Apple has no other warranty obligation.
  • ActsSocial, not Apple, is responsible for addressing claims related to the application, including product liability, legal compliance, and intellectual property infringement.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms, with the right to enforce them against you.

22.2 Google Play

If you accessed or downloaded the Android application from Google Play, you also agree to comply with the Google Play Terms of Service. Google is not a party to these Terms but is a third-party beneficiary with the right to enforce these Terms against you to the extent these Terms govern your use of the Android application.

23. Special provisions for certain users

23.1 California users

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Boulevard, Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.

23.2 Texas users

Texas users acknowledge that ActsSocial is a Texas corporation and that these Terms are entered into and performed in Texas. Texas consumer protection laws apply to your use of the Services.
